aggregate amount of $355.07. The various items were examined
and determined to be proper administration expenses
chargeable against the trust principal and payment of the
same was authorized. Mr. O'Connor did not participate in
this discussion but left the meeting at this point to meet
an engagement previously made by him.

The question of compensation to O'Connor & Farber for legal
services rendered for the Trustees since September 15, 1947
was submitred to Colonel Roosevelt and Mr. Hackett for
their consideration. Mr. Koons described and explained the
nature and extent of the services rendered and it was
unanimously decided that the payment of $7,500.00 for legal
services for the period ending September 1, 1948 would be
fair and reasonable. Since a considerable amount of time
and effort was required in connection Kith the pending sale
of the Hyde Park real estate, Messrs. Roosevelt and Hackett
authorized the payment of $4,500.00 on account of counsel
fees out of the proceeds of the sale of the real estate and
the payment of the balance of the fee of $3,000.00 in
September, 1948.

          After tentatively fixing July 20, 1948 at 10:00 A. M. for
the next meeting of the Trustees, the meeting was
adjourned.
