              The cash payments to be made from principal as per the
proposed Final Decree are as follows:

                  Hooker, Alley & Dunsan, Esqs..  10,048.69
 
                                  Total.......  $169,526.77
 
              It thus appears that the sum of at least $6,234.29 must be
raised by the sale of securities in order to have available
sufficient principal cash to meet the contemplated
payments. A proposed letter of instructions to City Bank
Farmers Trust Company is submitted herewith for the
signatures of the Executors, directing  the transfer of all
cash in the Custodian Account, both principal and income,
as of August 31, 1947 to the Estate Checking Account at
Bankers Trust Company, and directing the sale of such
security or securities as shall be decided.
 
              The only payment to be made out of income is the income
commissions in the amount of $ 8,320.11. The balance of
income cash will be distributable to Mrs. Roosevelt as life
beneficiary. In view of the fact that the income tax
returns for the Estate have not as yet been audited and
there may be a few miscellaneous income charges payable by
the Executors, it is suggested that the sum of
approximately $5,000.00 be retained by the Executors to
meet such contingencies.
