                        SCHEDULE "B"
 
                         PARCEL III
 
     ALL that tract or parcel of land situate in the Town of 
Hyde Park, Dutchess County, N. Y., bounded and described as
follows:
 
     BEGINNING at a corner of walls in the northerly line of the
Lane or Road leading to Cream Street; thence along a line parallel
to and 30 feet northerly from a wall on the south side of said
lane, north 74' 52' west 119 feet, north 77' 18' west 87 feet,
north 73' 50' west 144 feet, north 26' 14' west 64 feet, north 69'
35' west 76 feet to a point 15 feet northerly of the center of 
the beaten track; thence north 0' 28' east 53.8 feet to a corner
of a wall; thence following the wall the following courses and
distances: north 13' 24' west 45 feet north 17' 31' west 102.3 
feet, north 21' 58' east 85.5 feet, north 18' 13' east 107.8
feet, south 75 degrees 37' east 105 feet, north 14' 45'east 57.1
feet, north 19' 35' east 275.2 feet, north 17' 10' east 180 feet,
south 74' 47' east 324 feet, south ll' 57' west 473 feet, south
7' 47' west 468.5 feet, to the place of beginning.
 
     The above description is made by O. A. D'Luhosch, C. E. on
the 5th day of October, 1929, being a description of the same 
premises which were conveyed to Lester Griffin Gossoo, party of
the first part hereto by Fred Adams by deed dated the 26th day 
of January, 1921, and recorded in the Dutchess County Clerk's
Office in Liber 413 of Deeds at page 207. Said tract of land 
above described containing 8.82 acres more or less exclusive of 
the right of way, according to said survey.
 
     Being a part of the same premises which were conveyed by
Willet J. Marshall and wife to Fred Adams by deed dated the
18th day of February, 1901, and recorded in the Dutchess
County Clerk's Office in Liber 312 of Deeds at page 39. And
being a part of the same premises conveyed by Griffen L.Marquet 
and wife to Willett J. Marshall by deed dated the 17th day of 
February, 1900 and recorded in Liber 306 of Deeds at page 147, 
in the Dutchess County Clerk's Office. And being a part of the
same premises conveyed by Maria Marshall to Griffin L. Marquet
by deed dated April 28, 1894, and recorded in the Dutchess County
Clerk' Office in Liber 274 of Deeds at page 210.
 
    The said Maria Marshall having receivedtitle to said property
by Will of Henry B. Marshall, deceased, her husband, executed 
June 8, 1892, and filed in the Dutchess County Surrogate's Office 
in Liber ll of Wills at page 596.
 
   And being a part of the same premises which were conveyed by
Martin Burgen and wife to Henry B. Marshall by deed dated May l, 
1850, and recorded in Liber 91 of Deeds at page 598 in the 
Dutchess County Clerk's Office.
 
   The above Barcel III being the same premises heretofore conveyed 
to Wyatt Jones and Eliza Jones, husband and wife, by Lester G.
Gossoo by deed dated Oct. 7, 1929 and recorded in Liber 500 of 
Deeds at page 294 in the Dutchess County Clerk's Office.
